No profit is guaranteed. Advertising results vary by business, market conditions, competition, budget, and creative quality. Past performance of any campaign does not predict future results.
1. What the Service Is
MAD AD SLINGERS is an AI-assisted advertising platform. We provide tools that help you create, manage, and launch advertising campaigns across third-party platforms (including Meta/Facebook, Instagram, Google, Pinterest, LinkedIn, TikTok, and others), plus optional AI features (copywriting, bid optimization, creative optimization, video generation, budget allocation) and, on the Fully Managed tier, human-managed campaign services.
We are not the ad platforms themselves. Campaigns run on third-party platforms under their own terms, policies, and approval processes. We do not control whether a third-party platform approves, serves, or restricts your ads.
2. Accounts
- You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account.
- You must provide accurate information and keep your credentials confidential. You are responsible for all activity under your account.
- One account per business entity unless we approve otherwise.
- We may suspend or terminate accounts that violate these Terms, engage in fraud, or abuse the platform.
3. Free Exploration and Paid Features
- Signing up and exploring the client portal is free.
- A first paid action (e.g., uploading a creative, generating a video, creating or launching a campaign, using AI features) triggers a payment prompt showing the current price before anything is charged.
- Current service tiers (prices shown at checkout govern; check the pricing page for the latest):
- Self-Serve — $49/month base platform fee.
- DIY with AI — $149/month.
- Fully Managed — 20% of monthly ad spend when AI/managed features are actively used.
- Add-ons: creative uploads $10/month per creative; video credits $29/month for 20 credits ($19 per extra 20); Magic Ad Maker: 10 free generations/month, then $5 per 10 extra generations.
- Founding-client pricing, where offered, is locked at the rate stated at signup for the duration stated at signup.
4. Billing and Payments
- Payments are processed by Square. We do not store your full payment-card numbers.
- Subscriptions are billed monthly in advance; usage-based charges (add-ons, video credits, the AI-features fee on the Fully Managed tier) are billed as incurred or at month-end as stated at checkout.
- Refunds: [DECISION NEEDED — you have not finalized a refund policy. The neutral placeholder below does not commit you; pick one before launch. Placeholder: "All fees are final unless the specific checkout page for the product states otherwise. To request an exception, contact legal@mad-ad-slingers.com."]
- If a payment fails, we may pause paid features until the balance is current. You remain responsible for any ad spend already incurred.
5. Ad Spend and Pre-Paid Budgets
- Ad spend on third-party platforms (Meta, Google, etc.) is separate from platform fees and is your responsibility.
- Where the platform offers pre-paid ad-budget balances, campaigns draw from your pre-paid balance and pause automatically at $0. Top-up reminders may be sent; keeping a positive balance is your responsibility.
- We do not guarantee any level of ad performance, return on ad spend, or revenue. Our slogan is marketing language, not a promise of results.
6. Client Content and Intellectual Property
- You retain ownership of the creatives, copy, and materials you upload ("Client Content"). You grant us a worldwide, non-exclusive license to host, process, and display Client Content as needed to operate the Service (including submitting it to ad platforms on your behalf).
- You represent that your Client Content does not infringe any third party's rights and complies with applicable law and each ad platform's policies.
- The platform itself — software, models, the Slingy assistant, designs, and branding — is our property (or our licensors'). You receive a limited, revocable, non-transferable license to use it while your account is in good standing. Do not copy, reverse-engineer, resell, or scrape it.
7. Acceptable Use
You agree not to: violate any law; upload infringing, defamatory, or unlawful content; attempt to access other clients' data or accounts; interfere with or probe the platform's security; use the platform to send unsolicited bulk messages in violation of the TCPA or similar laws; or misrepresent your identity. Violations may result in suspension or termination.
8. Third-Party Platforms and Integrations
- Connecting your own ad-platform accounts is done through those platforms' official authorization flows.
- We are not responsible for third-party platform outages, policy changes, ad disapprovals, account suspensions, or billing by those platforms.
- API availability of third-party platforms may change without notice.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY ADVERTISING RESULTS WILL BE ACHIEVED.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE IS LIMITED TO THE FEES YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST AD SPEND, EVEN IF ADVISED OF THE POSSIBILITY.
11. Indemnification
You agree to indemnify and hold harmless the Company, its owners, and agents from claims arising from your Client Content, your use of the Service, or your violation of these Terms or applicable law.
12. Dispute Resolution — MANDATORY BINDING ARBITRATION; CLASS ACTION WAIVER
Please read this section carefully. It affects your legal rights.
- Agreement to arbitrate. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") will be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. This agreement is governed by the Federal Arbitration Act (FAA).
- Class/collective waiver. You and the Company agree that any Dispute will be resolved only on an individual basis — not as a class, collective, consolidated, or representative action. The arbitrator has no authority to hear class or collective claims.
- Opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing legal@mad-ad-slingers.com with the subject line "Arbitration Opt-Out" and your account email. Opting out does not affect any other part of these Terms.
- Small-claims exception. Either party may bring an individual claim in small-claims court if it qualifies.
- Delegation. The arbitrator — not a court — decides questions of arbitrability, including the scope and enforceability of this section.
- Venue and process. Arbitration will take place in Dane County, Wisconsin, unless both parties agree otherwise, and may be conducted by phone or video where permitted by AAA rules. Each party bears its own costs unless the arbitrator orders otherwise or applicable law requires otherwise.
13. Governing Law
These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles, except that Section 12 is governed by the FAA.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted with a new effective date, and for significant changes we will ask you to re-accept (the signup flow records terms_accepted, terms_version, and accepted_at). Continued use after the effective date constitutes acceptance.
15. General
- Entire agreement. These Terms (plus the Privacy Policy and any checkout terms) are the entire agreement between you and the Company regarding the Service.
- Severability. If any provision is found unenforceable, the rest remains in effect.
- No waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
